Terms of Use

These Terms of Use (hereinafter the "Terms") govern access to and use of the Voyino platform, available at voyino.com, published by KATALUXE SARL U, Lomé, Togo.

By creating an account or using the Platform, you accept these Terms in full. If you do not accept them, you must not use the Platform.

1. Preamble

Voyino is a digital matchmaking platform between people offering accommodation for short-term rental (hereinafter the "Hosts") and people looking for accommodation (hereinafter the "Travelers"), primarily in the markets of sub-Saharan Africa, the Maghreb and the Middle East (MENA).

Voyino does not own the accommodation listed on the Platform and is not a party to the contracts concluded between Hosts and Travelers. KATALUXE SARL U acts exclusively as a technical intermediary facilitating the matchmaking and the secure processing of payments.

2. Definitions

  • Platform: the voyino.com site and all its associated services.
  • User: any natural person accessing the Platform, whether registered or not.
  • Host: a User holding a "host" account offering one or more accommodations for rental through the Platform.
  • Traveler: a User making, or wishing to make, an accommodation booking through the Platform.
  • Listing: any accommodation offer published by a Host on the Platform, including descriptions, photographs, rates and terms.
  • Booking: a short-term rental contract concluded directly between a Host and a Traveler, facilitated by the Platform.
  • Account: the secure personal space created by a User on the Platform.
  • Voyino or KATALUXE SARL U: the company publishing the Platform.

3. Access and registration

3.1 Conditions of access

Full use of the Platform's services is reserved for natural persons of full age, at least 18 years old, having full legal capacity to contract under the law of their country of residence.

Browsing without authentication (viewing listings) is open to everyone.

3.2 Creating an account

Creating an account requires:

  • A valid email address, exclusive to that account
  • A secure password meeting the Platform's requirements
  • Verification of the email address via an activation link (required to access full functionality)
  • Explicit acceptance of these Terms and of the Privacy policy

The User undertakes to provide accurate, complete and up-to-date information at registration and to keep it current. Any false or inaccurate information may lead to immediate termination of the account, without notice or compensation.

3.3 One account per person

Each natural person may hold only one User account on the Platform. Creating multiple accounts is strictly prohibited and may lead to the suspension or deletion of all the accounts concerned.

4. User account

The User is solely and entirely responsible for the confidentiality of their login credentials (email and password). Any activity carried out from their account is presumed to have been carried out by the User.

If credentials are lost, stolen, forgotten or used without authorisation, the User must immediately inform Voyino at contact@voyino.com. KATALUXE SARL U cannot be held liable for the consequences of fraudulent use of the account before that notification.

KATALUXE SARL U reserves the right to temporarily suspend or permanently delete any account showing fraudulent or abusive activity, or activity contrary to these Terms or to applicable law, without notice and without compensation.

5. Voyino's role

Voyino acts exclusively as an intermediary matchmaking platform. As such:

  • Voyino does not guarantee the quality, safety, legal compliance, accuracy or completeness of the Listings published by Hosts.
  • Voyino is not a party to the rental contracts concluded between Hosts and Travelers. Those contracts are concluded directly between the parties, under their sole responsibility.
  • Voyino does not inspect the accommodation and carries out no physical verification of the information contained in the Listings.
  • Voyino accepts no liability for damage, loss, incidents or disputes arising in connection with a rental or a stay.

6. Host obligations

By publishing a Listing on the Platform, the Host undertakes to:

  • Publish truthful, accurate and complete Listings, with photographs that faithfully represent the accommodation.
  • Update their Listings as soon as information changes (availability, rates, amenities, house rules).
  • Comply with all local laws and regulations applicable to short-term rental in their country (administrative declarations, rental authorisations, co-ownership rules, etc.).
  • Make all tax declarations required by applicable regulations for rental income.
  • Hold home insurance and, where applicable, "rental risk" cover suited to short-term sub-letting.
  • Welcome Travelers under conditions strictly in line with the description published in the Listing.
  • Honour every confirmed Booking, except in cases of force majeure duly evidenced by an official document.

7. Voyino commission on Host revenue

7.1 Standard rate

Voyino charges a commission of 7% on the amount paid to the Host (rent + cleaning fee) for each completed Booking.

7.2 Founding Host programme

Hosts admitted to the Founding programme are exempt from this commission for a period of 12 calendar months from the date their first approved Listing is published on the Platform. At the end of that period, the standard 7% rate applies automatically.

7.3 Distinction from the Traveler service fee

The Host commission is distinct from the 12% service fee paid by the Traveler. It is neither added to the price shown to the Traveler, nor deducted from the amount the Traveler pays.

7.4 Changes to the rate

KATALUXE SARL U reserves the right to change the commission rate applicable to new Bookings, with at least 30 days' notice given to Hosts by email. Bookings already confirmed before such a change takes effect are not affected.

8. Traveler obligations

By making a Booking on the Platform, the Traveler undertakes to:

  • Use the booked accommodation with care and respect, in line with its purpose and the Host's house rules.
  • Return the accommodation in good general condition at the agreed date and time.
  • Pay in full the sums due (rent, cleaning fee, service fee) at the time of booking.
  • Respect the maximum number of occupants declared at booking.
  • Not sub-let or transfer the accommodation to undeclared third parties.
  • Behave respectfully towards the Host, the neighbourhood and the property.
  • Not organise parties, events or gatherings without the Host's prior, explicit authorisation.

9. Moderation

KATALUXE SARL U reserves the right, at its sole discretion and without any obligation to justify or give notice, to:

  • Moderate, modify, refuse publication of or delete any Listing that does not comply with these Terms, applicable law or the values of the Platform.
  • Temporarily suspend or permanently delete any User account showing fraudulent, abusive or dangerous behaviour, or behaviour contrary to these Terms.
  • Remove any content (text, photo, message) deemed unlawful, misleading, offensive, or infringing the rights of third parties.

These decisions are final and give rise to no compensation for the User concerned.

10. Limitation of liability

To the extent permitted by applicable law, KATALUXE SARL U expressly excludes all liability for:

  • The quality, safety, legality, accuracy or completeness of the accommodation and the Listings published.
  • The behaviour, actions or failures of Hosts or Travelers.
  • Disputes, damage, loss or harm arising between Hosts and Travelers in connection with a rental.
  • Direct, indirect, incidental, special or consequential damage resulting from the use of, or inability to use, the Platform.
  • Temporary unavailability of the Platform for technical, maintenance or force majeure reasons.
  • Data loss or service interruption caused by third-party infrastructure providers.

The mandatory provisions of consumer law applicable in the Traveler's country of residence remain applicable and cannot be set aside by these Terms.

11. Intellectual property in User content

Content published by Users on the Platform (photographs, texts, descriptions, reviews) remains the intellectual property of its respective authors.

By publishing such content, the User grants KATALUXE SARL U a non-exclusive, worldwide, royalty-free, transferable and sub-licensable licence to use, reproduce, display, adapt, translate and distribute that content, exclusively in connection with the operation and promotion of the Voyino Platform, for the duration of these Terms.

The User warrants that they hold all necessary rights in the content published and that this content does not infringe the rights of third parties.

12. Personal data

The processing of Users' personal data is described in detail in Voyino's Privacy policy, which forms an integral part of these Terms.

13. Force majeure

Neither party may be held liable for a failure to perform its obligations resulting from an event of force majeure.

The following are considered cases of force majeure, without this list being exhaustive: a declared pandemic or epidemic, natural disaster (earthquake, flood, cyclone, volcanic eruption), armed conflict, act of terrorism, riot or civil unrest, government restriction or prohibition, embargo, widespread infrastructure outage (electricity, internet), large-scale cyber-attack, major failure of a third-party provider, or any other unforeseeable, irresistible and external event.

14. Termination

The User may delete their account at any time by submitting a request through the Delete my account page. Deletion takes effect within a maximum of 30 days.

KATALUXE SARL U may terminate or suspend any account, with or without notice depending on the seriousness of the facts, in the event of a breach of these Terms, fraudulent behaviour, infringement of third-party rights, or for any reason deemed legitimate by KATALUXE SARL U. Termination gives rise to no compensation.

15. Changes to these Terms

KATALUXE SARL U reserves the right to change these Terms at any time. Substantial changes will be notified to Users by email with at least 15 days' notice before they take effect.

Continuing to use the Platform after the notice period has expired constitutes acceptance of the new Terms. If the User disagrees, they may close their account before the new terms take effect.

16. Governing law and jurisdiction

These Terms are governed by, interpreted and performed in accordance with Togolese law.

In the event of a dispute concerning the interpretation, validity or performance of these Terms, and failing an amicable settlement, the parties agree on the exclusive jurisdiction of the Commercial Court of Lomé (Togo).

For consumers residing in the European Union, the mandatory protective provisions of consumer law in the consumer's country of residence remain applicable notwithstanding the choice of Togolese law, in accordance with the applicable rules of private international law.

17. Mediation

Before any legal action, Users are invited to contact KATALUXE SARL U at contact@voyino.com in order to attempt to settle the dispute amicably within a reasonable time. KATALUXE SARL U may, at its discretion, propose referral to an independent mediator. This procedure is not a contractual obligation for KATALUXE SARL U.

18. Severability

If any provision of these Terms is declared void, unwritten or unenforceable by a court having jurisdiction, that invalidity shall not affect the other provisions, which shall remain in full force and effect.
